Business Records and UCC Searches

Business entities such as limited liability companies, corporations, registered trade-names, etc. are all handled through the office of the Secretary of State for the State in which the entity was organized.  Name availability for a new company or records for an existing company are available at the web site for the Secretary of State.  When a business entity grants a lien on some or all of its assets to a creditor, these records are also done with the Secretary of State and these are called UCC searches.  UCC refers to the Uniform Commercial Code adopted by the states and they are indexed under both the Debtor and the Creditor’s names.
